1. Acceptance of Terms

By accessing or using NeonSnap's website, mobile applications, or services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

NeonSnap provides an AI-powered platform that allows users to transform and edit photos, including but not limited to:

• Hair Transformation: Change hairstyles, colors, and lengths
• Makeup Studio: Apply virtual makeup and cosmetic enhancements
• Outfit Changer: Modify clothing styles and colors
• Background Editor: Replace or modify photo backgrounds
• Expression Adjuster: Modify facial expressions and emotions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

3.1 Account Creation

• You must be at least 13 years old (or 16 in some jurisdictions) to create an account
• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account credentials
• You may not share your account with others or create multiple accounts

3.2 Account Security

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• We are not liable for losses caused by unauthorized use of your account

4. Payments and Credits

4.1 One-Time Purchases

NeonSnap is offered on a pay-as-you-go basis. We do not sell subscriptions, and there are no recurring charges, automatic renewals, or free trials. You purchase a one-time pack of transformation credits ("Transformations" or "Credits") that are yours to use at your own pace, subject to the validity period described in section 4.2 below.

4.2 Credits and Usage

• Each successful AI transformation consumes one or more Credits from your balance
• The number of Credits included in each pack is shown on the Pricing page before you complete your purchase
• Credits are guaranteed for 12 months (one year) from the date of purchase. After this period, we reserve the right to expire or remove any unused Credits from your account
• Credits have no cash value, are non-transferable, and cannot be exchanged for money
• Free or promotional Credits may be subject to additional conditions, limits, or expiry

4.3 Billing and Payment Processing

• Payments are processed securely by our third-party payment provider, Stripe; we do not collect or store your full card details
• Prices are displayed and charged in your selected currency (GBP, USD, or EUR), with GBP as the default
• You agree to pay all charges at the prices in effect when your purchase is made
• You are responsible for any applicable taxes or bank charges that are not collected at checkout

4.4 Pricing Changes and Special Offers

• We may change the price or contents of any Credit pack at any time; changes do not affect purchases you have already completed
• We may run special offers that grant bonus Transformations; the terms of any offer are shown at the point of sale

4.5 Refunds

Because Credits give immediate access to digital content, all purchases are final and non-refundable except where required by law. If you were charged in error, or a technical fault on our side prevented a transformation from completing, please contact us at info@neonsnap.com and we will put it right in good faith.

5. Acceptable Use Policy

You agree to use the Service in compliance with all applicable laws and regulations. You must not:

5.1 Legal Compliance

• Violate any local, state, national, or international laws
• Infringe upon intellectual property rights of others
• Violate privacy rights or misappropriate personal information
• Engage in fraudulent or deceptive practices

5.2 Ethical Use

• Create deepfakes or misleading content intended to deceive
• Generate content depicting illegal activities
• Create content that harasses, threatens, or defames others
• Produce sexually explicit content without proper consent

6. Intellectual Property Rights

6.1 NeonSnap Property

The Service, including its design, features, technology, and content (excluding User Content), is owned by NeonSnap and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove or alter copyright notices or proprietary marks
• Use our trademarks or branding without written permission

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

7. User Content and Ownership

7.1 Your Content

You retain all ownership rights to the photos and images you upload to NeonSnap ("User Content"). By uploading User Content, you represent and warrant that:

• You own the Content or have necessary rights to use it
• The Content does not violate any third-party rights
• The Content complies with these Terms and applicable laws
• You have consent from any individuals depicted in the Content

7.2 License to NeonSnap

By uploading User Content, you grant NeonSnap a worldwide, non-exclusive, royalty-free license to:

• Store, process, and transmit your Content to provide the Service
• Use anonymized and aggregated data to improve our AI models
• Display your Content to you and users you choose to share with

8. AI-Generated Content

8.1 Ownership of Generated Images

• You own the AI-transformed images created from your original photos
• NeonSnap does not claim ownership of AI-generated outputs
• You are responsible for how you use and distribute generated images

8.2 Limitations

• AI-generated content may not be perfect or meet your expectations
• Results depend on input quality and may vary
• We do not guarantee specific outcomes or quality levels

8.3 Commercial Use

You may use the AI-generated images you create with your purchased Credits for personal or commercial purposes, subject to these Terms and the Prohibited Activities below.

9. Prohibited Activities

You must not engage in any of the following prohibited activities:

9.1 System Abuse

• Attempt to gain unauthorized access to our systems
• Introduce viruses, malware, or harmful code
• Overload or disrupt our servers or networks
• Circumvent security measures or usage limits

9.2 Content Violations

• Upload images depicting minors in inappropriate contexts
• Create non-consensual intimate images
• Generate hateful, violent, or terrorist content
• Produce content that violates export control laws

9.3 Service Misuse

• Use automated tools to access the Service (except with permission)
• Resell or redistribute our services without authorization
• Impersonate others or misrepresent your affiliation
• Interfere with other users' enjoyment of the Service

10. Service Availability

While we strive to provide reliable service, we cannot guarantee:

• Uninterrupted or error-free operation
• Compatibility with all devices or configurations
• Specific uptime percentages (except for Enterprise customers)
• Permanent availability of any specific feature

We reserve the right to perform maintenance, upgrades, and modifications that may temporarily affect Service availability.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or completeness
• Warranties that the Service will meet your requirements

We do not warrant that the Service will be error-free, secure, or free from viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEONSNAP SHALL NOT BE LIABLE FOR:

12.1 Excluded Damages

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your account
• Damages resulting from third-party services or content

12.2 Liability Cap

Our total liability for any claims arising from or related to the Service shall not exceed the greater of:

• The amount you paid us in the 12 months before the claim arose, or
• $100 USD

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless NeonSnap, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your User Content or use of AI-generated content
• Your use or misuse of the Service

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through account settings
• Contacting our support team
• Ceasing to use the Service

14.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• Your account has been inactive for an extended period
• We are required to do so by law

14.3 Effects of Termination

• Your right to access the Service will immediately cease
• Your User Content may be deleted (subject to our data retention policies)
• Fees paid are non-refundable except as required by law
• Provisions that by their nature should survive termination will remain in effect

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Notify you via email or through a notice on the Service
• Provide a reasonable time period before the changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

16. Governing Law and Disputes

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

• Informal Resolution: First, contact us to attempt resolution informally
• Mediation: If informal resolution fails, disputes may be submitted to mediation
• Arbitration: Unresolved disputes may be submitted to binding arbitration

16.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions or class-wide arbitration.
